Terms & Conditions

1. About AkoPlus

AkoPlus is a community platform operated by Moana Digital Solutions ("we", "us", "our") based in New Zealand. AkoPlus helps communities — families, friends, groups — organise, fundraise, and collaborate through tools including task management, fundraising campaigns (Impact), ecommerce stores (Shop), contact management (Directory), file sharing (Vault), notes, Family Hub (social timeline, events, savings), Google Calendar integration, and AI-powered productivity features.

By creating an account or using any AkoPlus service, you agree to these Terms & Conditions. If you do not agree, please do not use the platform.

2. Eligibility

  • You must be at least 16 years of age to create an account, consistent with the NZ Privacy Act 2020 and Australian Privacy Act 1988.
  • If you are under 18, you confirm you have the consent of a parent or guardian.
  • You must provide accurate information when registering and keep your account details up to date.

3. Your Account

  • You are responsible for maintaining the confidentiality of your password and for all activity under your account.
  • Passwords must be at least 8 characters, include at least one uppercase letter and one number.
  • We enforce single-session login (one device at a time, except admin accounts) for your security.
  • You may delete your account at any time via Settings. This permanently removes all your data including tasks, campaigns, shops, contacts, notes, files, and associated records.

4. Acceptable Use

You agree not to:

  • Use AkoPlus for any unlawful purpose or in violation of New Zealand or Australian law.
  • Create fraudulent fundraising campaigns or misrepresent the purpose of funds raised.
  • Sell prohibited, counterfeit, or illegal goods through Shop.
  • Upload malicious files, viruses, or content that infringes intellectual property rights.
  • Attempt to access other users' accounts, data, or administrative functions.
  • Use automated tools, bots, or scrapers to access the platform.
  • Harass, abuse, or harm other users or campaign supporters.
  • Circumvent rate limits, security controls, or access restrictions.

We reserve the right to suspend or terminate accounts that breach these terms, without prior notice where necessary.

5. Impact — Fundraising Campaigns

5.1 Campaign Owners

  • You are solely responsible for the accuracy of your campaign description, images, and stated purpose.
  • You must use funds raised for the purpose described in your campaign. Misuse of funds may constitute fraud under the NZ Crimes Act 1961 or equivalent Australian legislation.
  • AkoPlus does not hold, pool, or manage funds on your behalf. Bank transfer pledges go directly to your nominated bank account. Card payments are processed directly through your own Stripe account.
  • You are responsible for any tax obligations arising from funds raised, including income tax or GST (NZ) / GST (AU) where applicable.

5.2 Supporters & Donors

  • Pledges via bank transfer are commitments between you and the campaign owner. AkoPlus facilitates the connection but is not a party to the transaction.
  • Card payments are processed by Stripe using the campaign owner's Stripe account. AkoPlus does not store your card details.
  • Refunds for card payments are the responsibility of the campaign owner via their Stripe dashboard. AkoPlus cannot process refunds on their behalf.
  • AkoPlus does not guarantee that campaign owners will use funds as described. You support campaigns at your own discretion.

5.3 Fundraising Compliance

AkoPlus is a technology platform, not a registered charity or financial service. Campaign owners are responsible for complying with:

  • NZ Charities Act 2005 (if representing a registered charity)
  • NZ Fair Trading Act 1986 / Australian Consumer Law (truthful representations)
  • Any local council requirements for charitable collections where applicable

6. Shop — Ecommerce

  • Shop owners operate their own stores using AkoPlus tools. AkoPlus is the platform provider, not the seller.
  • Shop owners are responsible for product descriptions, pricing, stock management, order fulfilment, shipping, and customer service.
  • Shop owners must comply with the NZ Consumer Guarantees Act 1993 and/or Australian Consumer Law, including providing goods of acceptable quality, fit for purpose, and as described.
  • Shop owners are responsible for GST registration and obligations if their turnover exceeds thresholds (NZ$60,000/year in NZ; AU$75,000/year in Australia).
  • Digital products are delivered via secure download links after payment confirmation.
  • Discount codes, pricing, and promotions are managed by the shop owner. AkoPlus does not verify or guarantee promotional offers.

7. Vault — File Sharing

  • Vault allows you to create shareable upload links for receiving files from others.
  • You are responsible for files uploaded to and stored in your Vault.
  • Maximum file size is 50MB per file. We may impose storage limits in the future with reasonable notice.
  • Do not use Vault to share or solicit illegal, harmful, or infringing content.

8. Directory — Contact Management

  • You are responsible for ensuring you have consent or a lawful basis to store other people's contact information, consistent with the NZ Privacy Act 2020 Information Privacy Principles and/or the Australian Privacy Principles.
  • Public contact profiles (when enabled) display the information you choose to make visible. Ensure you have the individual's consent before making their profile public.
  • Public file uploads (when enabled) allow anyone with the profile link to upload files to that contact's profile.

9. Family Hub

9.1 Family Groups

  • Family Hub allows you to create groups for sharing posts, events, and savings goals with invited members.
  • Group owners and admins can invite members via email, manage roles (owner/admin/member), and remove members.
  • Group owners are responsible for the content shared within their groups and for managing membership appropriately.
  • Public family groups (when enabled) display the timeline, events, and savings on a publicly accessible page. The group owner controls this setting.

9.2 Posts & Content

  • Members can create posts with text, images, videos, audio, and documents. Posts are visible to all active members of the group.
  • AI-assisted posts (text generation, voice transcription, photo captions) are processed via OpenAI. See Section 11 for AI terms.
  • You retain ownership of content you post. By posting, you grant group members the ability to view, react to, and comment on your content.
  • Post authors and group admins/owners can delete posts.

9.3 Events & Savings

  • Events can be created with RSVP functionality. Members can indicate going, maybe, or not going.
  • Savings goals allow groups to fundraise collectively. Bank transfer and Stripe payment options follow the same rules as Impact campaigns (Section 5).
  • Savings contributions are visible to group members. Contributors' names and amounts may be displayed.

10. Budget & Finance

  • Budget allows you to upload bank statements (.xlsx, .xls, .csv, .pdf) for AI-powered transaction parsing and categorisation.
  • Uploaded bank statements are processed on our server. PDF statements are sent to OpenAI's GPT-4o vision API for parsing — see Section 11 for AI terms.
  • Parsed transactions (dates, descriptions, amounts, categories) are stored in your account. You can edit or delete them at any time.
  • AI-generated budget insights, health scores, and category suggestions should be reviewed before acting on them. We do not guarantee the accuracy of AI financial analysis.
  • AkoPlus is not a financial adviser. Budget insights and the AI adviser chat are informational tools only, not professional financial advice. Always consult a qualified financial adviser for important financial decisions.
  • Financial goals (savings, spending limits, debt payoff, income targets) are tracked within the platform and are visible only to you.
  • You are responsible for the accuracy and security of any banking information contained in uploaded statements.

11. AI-Powered Features

AkoPlus includes AI features powered by OpenAI:

  • Voice AI — audio is transcribed using OpenAI Whisper and processed for task/contact/campaign/family management.
  • Smart Chat — conversational AI with web search capability.
  • AI Smart Features — task parsing, categorisation, daily briefings, suggestions, OCR (image-to-text for tasks and business cards), campaign generation, voice notes, family post AI (text/voice/photo modes), family event generation, budget insights, affordability calculator, and conversational budget adviser.
Important: When you use AI features, your input (text, audio, or images) is sent to OpenAI's API for processing. OpenAI's usage policies and privacy policy apply to that processing. We do not send your data to OpenAI for any purpose other than providing the requested feature.
  • AI token usage is tracked per user. Administrators may set usage limits.
  • AI-generated content (suggestions, descriptions, parsed tasks) should be reviewed before use. We do not guarantee accuracy.
  • Do not submit sensitive personal information (e.g. IRD/TFN numbers, medical records, passwords) to AI features.

12. Payments & Fees

  • AkoPlus is currently a free platform. We may introduce paid features or plans in the future with advance notice.
  • Card payment processing (Impact campaigns, Shop, and Family savings) uses Stripe. Stripe's terms of service and fees apply. Campaign/shop/family group owners are responsible for their own Stripe account and fees.
  • AkoPlus does not charge transaction fees on donations, pledges, contributions, or shop orders. Stripe's standard processing fees apply to card payments.

13. Google Calendar Integration

  • AkoPlus offers optional two-way sync with Google Calendar via Google's OAuth 2.0 API.
  • By connecting your Google Calendar, you authorise AkoPlus to create, update, and delete calendar events corresponding to your tasks, and to read calendar changes back to update your tasks.
  • We only access your primary Google Calendar. We do not access Gmail, Google Drive, Google Contacts, or any other Google service.
  • Your Google OAuth tokens are stored securely on our server. You can disconnect Google Calendar at any time via Settings, which immediately revokes access and deletes stored tokens.
  • Google Calendar integration is subject to Google's Terms of Service and Google's Privacy Policy.
  • AkoPlus's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

14. Intellectual Property

  • The AkoPlus platform, including its design, code, and branding, is owned by Moana Digital Solutions.
  • Content you create (tasks, campaigns, shop listings, notes, uploaded files) remains yours. By uploading content, you grant us a limited licence to store, display, and serve it as needed to operate the platform.
  • You must not upload content that infringes the intellectual property rights of others.

15. Data & Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. Please read it carefully.

16. Availability & Disclaimers

  • AkoPlus is provided "as is" without warranties of any kind, to the maximum extent permitted by law.
  • We do not guarantee uninterrupted or error-free service. We may perform maintenance, updates, or changes at any time.
  • Under the NZ Consumer Guarantees Act 1993 and Australian Consumer Law, certain consumer guarantees cannot be excluded. Nothing in these Terms limits your statutory rights.

17. Limitation of Liability

To the maximum extent permitted by law:

  • AkoPlus (and Moana Digital Solutions) is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.
  • We are not liable for the actions, content, or conduct of campaign owners, shop owners, donors, or other users.
  • We are not liable for any loss of data, although we take reasonable steps to maintain data integrity.
  • Our total liability for any claim shall not exceed NZ$100.

18. Indemnity

You agree to indemnify and hold harmless Moana Digital Solutions, its directors, employees, and agents from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms, your content, or your use of the platform.

19. Termination

  • You may stop using AkoPlus and delete your account at any time.
  • We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if required by law.
  • On termination, your data will be deleted in accordance with our Privacy Policy.

20. Push Notifications & Emails

  • You may opt in to browser push notifications for task reminders and campaign/shop activity alerts.
  • You may opt in to email notifications for task reminders via your Settings.
  • Transactional emails (donation receipts, order confirmations, pledge reminders, shipping notifications) are sent as part of the service and are not marketing communications.
  • We comply with the NZ Unsolicited Electronic Messages Act 2007 and the Australian Spam Act 2003.

21. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the platform or email. Your continued use of AkoPlus after changes take effect constitutes acceptance of the updated Terms.

22. Governing Law & Disputes

These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.
